Important legal information about the UPGO.IO $BNC token. Please read carefully before participating in the network.

Investing in cryptocurrencies carries significant risk. Token values can be highly volatile and may result in substantial losses. Only invest what you can afford to lose. Past performance does not guarantee future results. $BNC is a utility token, not a security.

This disclaimer applies to the $BNC token issued by UPGO.IO ("the Company", "we"). $BNC is a utility token built on the SPL standard on the Solana blockchain, designed for use within the UPGO ecosystem for the following purposes:

Bandwidth sharing rewards — Node operators earn $BNC by contributing bandwidth through the P2P relay network
Governance rights — $BNC holders participate in voting on protocol decisions via UPGO DAO
Network access — Use $BNC to purchase bandwidth, proxy services, and premium features
Staking — Stake $BNC to earn additional rewards and earning multipliers

Fixed total supply: 1,000,000,000 $BNC. There is no mechanism to mint additional tokens after issuance.

$BNC tokens may have no value, and there are no guarantees or commitments regarding their future value
Regulatory uncertainty
The legal status of tokens remains unclear in many jurisdictions and may change at any time
Technical risks
Technical vulnerabilities, cyberattacks, or other security issues on the Solana blockchain could result in token loss
Market volatility
Market manipulation, extreme price fluctuations, and liquidity risks may affect the token price
Project risks
The project may not achieve the goals outlined in the Roadmap or may cease operations
Smart contract risks
Despite security audits, smart contracts may still contain undiscovered bugs
Liquidity risks
The token may lack liquidity on exchanges, making it difficult to buy or sell

UPGO.IO does not accept $BNC token purchase transactions from users in Vietnam in any form. The system has implemented Vietnam IP blocking for all token trading activities.

Under current Vietnamese law, cryptocurrencies are not recognized as a legal means of payment. Although there is no explicit law prohibiting the ownership of cryptocurrencies, their use as a means of payment is prohibited under Decree 80/2016/ND-CP.

Vietnamese users can still participate in bandwidth sharing and earn $BNC tokens through farming rewards on the platform. Farming (contributing bandwidth to earn rewards) is a service provision activity, not a token trading transaction.

UPGO.IO reserves the right to block or restrict access from any other region if necessary to comply with local regulations.

The $BNC token is not intended to constitute a security in any jurisdiction. However, the legal treatment of tokens varies by jurisdiction and may change over time.

It is your responsibility to ensure that your participation complies with all applicable laws and regulations in your country of residence. Residents of certain countries may be prohibited from purchasing or holding tokens.

By accessing the UPGO.IO website and participating in token-related activities, you represent that you are legally permitted to do so under the laws of your country of residence.

Restricted Regions
Vietnam — Token purchase transactions blocked, farming permitted
United States — Token sale not available to U.S. citizens or residents
OFAC-sanctioned countries — Not supported in any form

$BNC tokens are distributed according to the plan published in the Whitepaper and Tokenomics page. The main distribution terms are:

Node Rewards (30%) — Gradually unlocked based on actual bandwidth contribution, no cliff
ICO/VC Investors (25%) — 6-month cliff, 18-month linear vesting
Ecosystem & Development (12%) — Unlocked based on project milestones
Team & Advisors (8%) — 12-month cliff, 24-month linear vesting
Treasury (8%) — Managed by DAO governance after DAO launch
Market Maker (7%) — Providing liquidity for exchanges
Marketing (5%) — Unlocked quarterly for marketing campaigns
Liquidity & CEX (5%) — Providing initial liquidity for DEX/CEX

UPGO.IO reserves the right to adjust the vesting schedule if necessary to protect the stability of the ecosystem, with at least 30 days advance notice to the community.

To the maximum extent permitted by applicable law, the Company, its affiliates, directors, employees, agents, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

•Losses arising from the use of or inability to use $BNC tokens or related services
•Unauthorized access to servers and/or personal information stored therein
•Software bugs, viruses, or malicious code transmitted through our services
•Errors or omissions in website content, Whitepaper, or technical documentation
•Incidents on the Solana blockchain or third-party services (exchanges, wallets)
•Changes in laws and regulations affecting the token or project operations
