By accessing, browsing, or using the UPGO.IO platform — including but not limited to our website (upgo.io), the UPGO Node desktop and mobile applications, our API/SDK, smart contracts deployed on the Solana blockchain, and any related services or tools — you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you ("User", "you", "your") and UPGO Solutions Co., Ltd. ("UPGO", "Company", "we", "us", "our").

If you do not agree with any provision of these Terms, you must immediately cease all use of our platform and services. Your continued access to or use of UPGO.IO after any modifications to these Terms shall constitute your acceptance of such modifications. We recommend that you review these Terms periodically to stay informed of any updates.

These Terms apply to all categories of users, including but not limited to: bandwidth contributors (node operators), developers integrating with our API/SDK (Relay Leaf SDK), enterprise clients purchasing bandwidth services, $BNC token holders, and any visitors accessing the UPGO.IO website or related materials.

The following terms shall have the meanings ascribed to them below throughout this agreement:

"Platform" — The UPGO.IO ecosystem, including the website, UPGO Node applications (Windows, macOS, Linux, Android, iOS), API/SDK, smart contracts, and all associated services.
"Node" or "UPGO Node" — The software application installed on a user's device that enables bandwidth sharing with the UPGO.IO decentralized network.
"$BNC Token" — The native SPL utility token on the Solana blockchain, used for rewards, governance, staking, and network access within the UPGO.IO ecosystem. Total fixed supply: 1,000,000,000 $BNC.
"Bandwidth Sharing" — The act of contributing unused internet bandwidth through the UPGO Node application to the decentralized peer-to-peer relay network.
"DePIN" — Decentralized Physical Infrastructure Networks, the category of blockchain protocols that incentivize individuals to deploy and maintain real-world physical infrastructure.
"Relay Leaf SDK" — The developer toolkit provided by UPGO.IO that allows third-party applications to integrate with the UPGO bandwidth network.
"Wallet" — A Solana-compatible cryptocurrency wallet used to store, send, and receive $BNC tokens and interact with the UPGO.IO platform.
"Data Credits" — Non-transferable credits created by burning $BNC tokens, used by enterprise clients to pay for bandwidth consumption on the network.

UPGO.IO is a Decentralized Physical Infrastructure Network (DePIN) platform built on the Solana blockchain. The platform creates a two-sided marketplace where individual users contribute unused internet bandwidth and enterprise clients (primarily AI companies) consume that bandwidth for legitimate purposes. The platform provides the following core services:

Bandwidth Sharing — Users install the UPGO Node application on their devices to share unused internet bandwidth with the decentralized P2P relay network. The application runs in the background and automatically manages bandwidth allocation without disrupting the user's normal internet usage.
Token Rewards — Contributors earn $BNC tokens based on multiple factors including the volume of bandwidth shared, uptime duration, node performance score, geographic demand, and network quality. Rewards are calculated in real-time and distributed directly to the user's connected Solana wallet.
Blockchain Transparency — All contribution metrics, reward calculations, and token distributions are recorded on the Solana blockchain, ensuring full transparency and auditability. Users can independently verify their earnings at any time through on-chain data.
Developer Integration — The Relay Leaf SDK enables third-party developers and enterprise clients to integrate UPGO's decentralized bandwidth network into their own applications, services, and infrastructure for purposes including CDN acceleration, data collection, AI model training, and web scraping.
Staking & Governance — $BNC token holders can stake their tokens to earn additional rewards, boost their earning multiplier (up to 2x), and participate in protocol governance through the UPGO DAO, voting on network parameters, feature priorities, and treasury allocation.
Wallet & Asset Management — An integrated Solana wallet allows users to manage their $BNC tokens, view transaction history, track earnings in real-time, and interact with DeFi protocols directly from the UPGO application.

To access and use the UPGO.IO platform and its services, you represent and warrant that you meet all of the following eligibility criteria:

You are at least 18 years of age or have reached the legal age of majority in your jurisdiction. If you are a legal entity, you have full corporate authority and power to enter into this agreement.
You have the legal right, authorization, and ownership of (or permission to use) the internet connection and bandwidth that you intend to share through the UPGO Node application.
You are not a citizen, resident, or located in any country or territory subject to comprehensive sanctions imposed by the United Nations, European Union, United States (OFAC), or any other applicable sanctions authority, including but not limited to: North Korea, Iran, Syria, Cuba, and the Crimea region.
You are not on any government-maintained list of prohibited or restricted parties, including the U.S. Department of Treasury's Specially Designated Nationals List (SDN List), the EU Consolidated Financial Sanctions List, or similar lists maintained by other jurisdictions.
You will comply with all applicable local, national, and international laws, regulations, and ordinances in your jurisdiction relating to your use of the platform, bandwidth sharing, cryptocurrency transactions, and tax obligations.
You agree to provide accurate, complete, and current information when registering an account and to maintain and promptly update your registration data to keep it accurate and complete at all times.
You have not previously been suspended, removed, or banned from the UPGO.IO platform for any reason, including violation of these Terms or any applicable policies.

When you create an account on UPGO.IO, you agree to the following terms regarding account management and security:

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password, seed phrase, private keys, and any two-factor authentication (2FA) codes. UPGO.IO will never ask you for your seed phrase or private keys.
You must immediately notify UPGO.IO at security@upgo.io if you become aware of any unauthorized access to or use of your account, or any other breach of security. Failure to provide timely notification may result in liability for any resulting losses.
You are responsible for all activities that occur under your account, whether or not you have authorized such activities. UPGO.IO shall not be liable for any loss or damage arising from your failure to maintain the security of your account.
Each natural person or legal entity may register and maintain only one (1) account on the UPGO.IO platform. Creating multiple accounts is strictly prohibited and may result in permanent suspension of all associated accounts and forfeiture of earned rewards.
UPGO.IO reserves the right to require additional identity verification (KYC — Know Your Customer) at any time, particularly for large withdrawals, suspicious activity, or as required by applicable laws and regulations. Failure to complete required verification may result in account restrictions.
You acknowledge that losing access to your Solana wallet (e.g., losing your seed phrase or private keys) may result in the permanent and irreversible loss of your $BNC tokens. UPGO.IO cannot recover lost wallets or tokens under any circumstances.

As a user of the UPGO.IO platform, you acknowledge and agree to the following responsibilities and obligations:

Ensure that your device meets the minimum system requirements and that your internet connection is stable and reliable when participating in bandwidth sharing. Unreliable connections may affect your node performance score and reward calculations.
Keep the UPGO Node application updated to the latest version at all times. Outdated versions may contain security vulnerabilities, lack critical features, or be incompatible with the current network protocol. UPGO.IO reserves the right to block nodes running outdated software.
Do not use the platform or any UPGO.IO services for any purpose that is unlawful, fraudulent, deceptive, or harmful. You must not transmit any content that is illegal, defamatory, obscene, threatening, or otherwise objectionable through the UPGO network.
Do not attempt to interfere with, manipulate, reverse-engineer, decompile, or disassemble the UPGO Node software, smart contracts, reward calculation algorithms, or any other technical systems of the platform.
You are solely responsible for determining and fulfilling all tax obligations arising from your use of the UPGO.IO platform, including but not limited to income tax, capital gains tax, and value-added tax on $BNC token rewards and transactions.
You must not use any automated tools, bots, scripts, or third-party software to artificially inflate your bandwidth contributions, manipulate your node performance score, or otherwise game the reward system.
You agree to cooperate with UPGO.IO in any investigation of suspected violations of these Terms, including providing requested information and access logs when reasonably required.

When participating in the UPGO.IO decentralized bandwidth network, the following terms and conditions apply to all bandwidth sharing activities:

Ownership & Control — You retain full ownership and control over your internet bandwidth at all times. The UPGO Node application only utilizes your excess, unused bandwidth and will never consume more than the limits you configure in the application settings.
No Guaranteed Income — UPGO.IO does not guarantee any specific level of income, earnings, or reward amount. Rewards depend on multiple dynamic factors including current network demand, your geographic location, bandwidth quality, uptime, and the overall number of active nodes in the network.
Legitimate Use — All bandwidth routed through the UPGO network is used exclusively for lawful purposes including but not limited to: content delivery network (CDN) acceleration, AI data collection and model training, web scraping, proxy services, and encrypted data transmission. UPGO.IO actively monitors and blocks any attempts to use the network for illegal activities.
Right to Withdraw — You may stop sharing bandwidth and disconnect your node from the network at any time without penalty. There is no minimum commitment period. Upon disconnection, pending rewards for the current billing cycle will be calculated and distributed according to the standard payout schedule.
Automatic Throttling — The UPGO Node application includes intelligent bandwidth management that automatically adjusts usage based on your current internet activity. When you are actively using your connection for personal tasks (streaming, gaming, video calls), the application will automatically reduce or pause bandwidth sharing to ensure your experience is not affected.
Network Quality Standards — UPGO.IO reserves the right to establish and modify minimum quality standards for network participation, including minimum bandwidth speeds, maximum latency thresholds, and uptime requirements. Nodes that consistently fail to meet these standards may receive reduced rewards or be temporarily excluded from the network.
Fair Usage Policy — UPGO.IO implements a fair usage policy to prevent network abuse and ensure equitable distribution of rewards. This includes monitoring for suspicious patterns, abnormal traffic volumes, and coordinated manipulation attempts across multiple nodes.

The $BNC token is the native utility token of the UPGO.IO ecosystem, built on the SPL token standard on the Solana blockchain. By holding, using, or earning $BNC tokens, you acknowledge and agree to the following:

Utility Token Classification — $BNC is classified as a utility token and is NOT a security, equity, debt instrument, investment contract, or any form of financial instrument. Holding $BNC tokens does not represent ownership, equity stake, or profit-sharing rights in UPGO Solutions Co., Ltd. or any affiliated entity.
Price Volatility — The market value of $BNC tokens is subject to significant volatility and may fluctuate dramatically based on cryptocurrency market conditions, regulatory developments, project milestones, and other factors beyond the control of UPGO.IO. You should be prepared for the possibility that $BNC tokens may lose all or substantially all of their value.
No Price Guarantees — UPGO.IO makes no representations, warranties, or guarantees regarding the current or future price, value, liquidity, or tradability of $BNC tokens on any exchange or trading platform. Past performance is not indicative of future results.
Tax Responsibilities — You are solely and exclusively responsible for determining, reporting, and paying all applicable taxes arising from your $BNC token transactions, including but not limited to: receipt of reward tokens, staking rewards, token sales, token swaps, and any other taxable events. UPGO.IO does not provide tax advice and recommends consulting a qualified tax professional.
Irreversible Transactions — All $BNC token transactions on the Solana blockchain are final and irreversible. UPGO.IO cannot reverse, cancel, or refund any on-chain token transaction, including transactions made in error, sent to incorrect addresses, or resulting from unauthorized access to your wallet.
Token Burning Mechanism — Enterprise clients burn $BNC tokens to create Data Credits for network usage, following the proven burn-and-mint model. This mechanism is designed to create sustained demand for the token. However, the rate and volume of burning depend on network usage and demand, which UPGO.IO does not guarantee.
Vesting & Distribution — $BNC tokens allocated to team members, advisors, investors, and other categories are subject to vesting schedules as outlined in the Whitepaper and Tokenomics documentation. UPGO.IO reserves the right to adjust vesting schedules with at least 30 days advance notice to the community when necessary to protect ecosystem stability.

All intellectual property rights in and to the UPGO.IO platform — including but not limited to the website, UPGO Node applications, Relay Leaf SDK, smart contracts, APIs, documentation, logos, trademarks, trade names, service marks, graphic designs, user interface designs, source code, algorithms, and all related materials — are and shall remain the exclusive property of UPGO Solutions Co., Ltd. and its licensors.

Subject to your compliance with these Terms, UPGO.IO grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the platform and the UPGO Node application solely for their intended purposes as described in these Terms. This license does not include any right to: (a) modify, adapt, translate, reverse-engineer, decompile, or disassemble any software; (b) create derivative works based on the platform; (c) copy, distribute, or publicly display any content from the platform except as explicitly permitted; (d) use any data mining, robots, or similar data gathering tools; or (e) use UPGO.IO's name, logo, or trademarks without prior written consent.

The Relay Leaf SDK is provided under a separate license agreement. Developers using the SDK must comply with the SDK License Terms, including attribution requirements, usage restrictions, and the prohibition against using the SDK for competing services without prior written authorization from UPGO.IO.

The UPGO.IO platform may integrate with or provide links to third-party services, products, or websites. You acknowledge and agree that:

UPGO.IO is not responsible for the availability, accuracy, content, or practices of any third-party services, including but not limited to: cryptocurrency exchanges (Gate.io, MEXC, Raydium), Solana blockchain infrastructure, wallet providers (Phantom, Solflare), analytics services, and DeFi protocols.
Your use of any third-party services is governed by those services' own terms of use and privacy policies. UPGO.IO strongly recommends that you review and understand such terms before engaging with any third-party service.
UPGO.IO shall not be liable for any loss, damage, or claims arising from your interaction with or reliance on any third-party services, including but not limited to: exchange outages, wallet vulnerabilities, Solana network congestion, smart contract exploits in third-party protocols, or loss of funds through third-party platforms.
Any integration with third-party services does not imply endorsement, partnership, or affiliation by UPGO.IO unless explicitly stated in official communications.

The following activities are strictly prohibited on the UPGO.IO platform. Any user found engaging in these activities will face immediate consequences including permanent account suspension, forfeiture of all earned and pending rewards, confiscation of staked tokens, and potential legal action:

Fraud & Manipulation — Using bots, scripts, automated tools, virtual machines, or any other mechanism to artificially inflate bandwidth contributions, manipulate node performance scores, or otherwise fraudulently earn rewards that do not represent genuine bandwidth sharing.
Multi-Accounting — Creating, operating, or maintaining multiple accounts by a single person or entity to circumvent per-account limits, manipulate earnings, or exploit referral programs. This includes using different email addresses, devices, IP addresses, or identities to create separate accounts.
System Exploitation — Attempting to attack, hack, penetrate, probe, or exploit security vulnerabilities in the UPGO.IO platform, including but not limited to: denial-of-service (DoS) attacks, SQL injection, cross-site scripting (XSS), buffer overflow attacks, man-in-the-middle attacks, or any form of unauthorized access to systems, data, or user accounts.
Illegal Content — Using the UPGO network to transmit, distribute, store, or facilitate the distribution of any content that is illegal, harmful, threatening, abusive, defamatory, obscene, sexually exploitative, or that violates any applicable law or regulation in any jurisdiction.
Data Falsification — Falsifying, spoofing, or misrepresenting bandwidth information, contribution statistics, geographic location data, device information, or any other metrics used in the calculation of rewards or network performance.
Financial Crimes — Using $BNC tokens or the UPGO.IO platform for money laundering, terrorist financing, tax evasion, sanctions circumvention, or any other financial crime as defined by applicable laws and regulations.
Intellectual Property Infringement — Using the UPGO network to infringe upon, misappropriate, or violate the intellectual property rights of any third party, including but not limited to copyrights, trademarks, patents, trade secrets, and proprietary information.
Network Disruption — Intentionally disrupting, degrading, or interfering with the normal operation of the UPGO network, other users' nodes, or the Solana blockchain infrastructure, including through the introduction of malware, viruses, worms, or other malicious code.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE UPGO.IO PLATFORM AND ALL ASSOCIATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

UPGO.IO, its directors, officers, employees, agents, affiliates, subsidiaries, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: loss of $BNC tokens or other cryptocurrencies, loss of profits or revenue, loss of data, loss of business opportunities, service interruptions, network outages, token price fluctuations, Solana blockchain congestion or failures, smart contract bugs or exploits, unauthorized access to user accounts, or damages caused by software errors, hardware failures, or internet connectivity issues.

In no event shall the total aggregate liability of UPGO.IO to you for all claims arising out of or relating to these Terms or your use of the platform exceed the greater of: (a) the total value of $BNC tokens you have earned through the platform in the twelve (12) months immediately preceding the claim, or (b) one hundred United States dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for consequential or incidental damages. In such jurisdictions, the limitations set forth above shall apply to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless UPGO Solutions Co., Ltd., its affiliates, subsidiaries, directors, officers, employees, agents, licensors, and service providers from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:

•Your use of or inability to use the UPGO.IO platform and its services
•Your violation of any provision of these Terms of Service or any applicable law or regulation
•Your violation of any rights of any third party, including intellectual property rights and privacy rights
•Any content you transmit through the UPGO network
•Your negligent or willful misconduct
•Any tax liabilities or penalties resulting from your $BNC token transactions

UPGO.IO reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with UPGO.IO in asserting any available defenses.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, your use of the UPGO.IO platform, or the $BNC token (collectively, "Dispute"), the parties agree to first attempt to resolve the Dispute through good-faith negotiation for a period of thirty (30) days following written notice of the Dispute.

If the Dispute cannot be resolved through negotiation within the 30-day period, either party may submit the Dispute to binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its Arbitration Rules. The arbitration shall be conducted in English by a single arbitrator appointed in accordance with the SIAC Rules. The seat of arbitration shall be Singapore.

CLASS ACTION WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in or bring claims in any class action, class arbitration, or other representative proceeding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

UPGO.IO reserves the right to suspend, restrict, or terminate your account and access to the platform immediately and without prior notice in the following circumstances: (a) violation of any provision of these Terms; (b) suspected fraudulent, abusive, or illegal activity; (c) failure to complete required identity verification (KYC); (d) upon request from law enforcement or regulatory authorities; (e) extended periods of account inactivity (more than 12 months); or (f) discontinuation of the UPGO.IO platform or any of its services.

You may voluntarily close your account and terminate your use of the platform at any time by contacting support@upgo.io or through the account settings in the UPGO Node application. Upon voluntary termination, you will have a 30-day grace period to withdraw any accumulated $BNC tokens from your account to an external wallet.

In cases of involuntary termination due to Terms violations, UPGO.IO reserves the right to: (a) immediately freeze your account and associated wallets; (b) forfeit any pending or earned rewards; (c) confiscate staked tokens; (d) revoke API/SDK access; and (e) pursue legal remedies for damages caused by your violations.

The following provisions shall survive any termination of these Terms: Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature should survive termination.

UPGO.IO reserves the right to modify, amend, supplement, or replace these Terms at any time at its sole discretion. When we make material changes to these Terms, we will provide notice through one or more of the following methods: (a) posting a prominent notice on the UPGO.IO website; (b) sending an email notification to the address associated with your account; (c) displaying an in-app notification in the UPGO Node application; or (d) publishing an announcement on our official social media channels.

For material changes, we will provide at least fourteen (14) calendar days advance notice before the changes take effect. Non-material changes (such as typographical corrections, formatting changes, or clarifications that do not alter the substance of the Terms) may take effect immediately upon posting.

Your continued use of the UPGO.IO platform after the effective date of any modifications constitutes your binding acceptance of the updated Terms. If you do not agree with any modification, your sole remedy is to discontinue use of the platform and close your account before the changes take effect.

These Terms of Service and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

Subject to the Dispute Resolution provisions in Article 14, you agree to submit to the exclusive jurisdiction of the courts of Singapore for any legal proceedings that may arise in connection with these Terms or your use of the UPGO.IO platform.

You acknowledge that UPGO.IO operates globally and may be subject to the laws and regulations of multiple jurisdictions. Compliance with local laws in your jurisdiction is your sole responsibility.

Severability — If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
Entire Agreement — These Terms, together with the Privacy Policy, Token Disclaimer, and any other policies referenced herein, constitute the entire agreement between you and UPGO.IO regarding your use of the platform and supersede all prior and contemporaneous agreements, representations, and understandings.
Waiver — The failure of UPGO.IO to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of UPGO.IO.
Assignment — You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of UPGO.IO. UPGO.IO may assign its rights and obligations under these Terms without restriction.
Force Majeure — UPGO.IO shall not be liable for any failure to perform its obligations under these Terms if such failure results from circumstances beyond its reasonable control, including but not limited to: natural disasters, wars, terrorism, pandemics, government actions, Solana blockchain outages, internet infrastructure failures, cyberattacks, or power outages.
Notices — All notices required or permitted under these Terms shall be in writing and shall be deemed delivered when sent via email to the address associated with your account (for notices to you) or to legal@upgo.io (for notices to UPGO.IO).
